THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is dated as of October 26, 2018, (the “Effective Date”) between TYLER WELDERS SUPPLY, INC., a Texas corporation (collectively, the “Seller”), and UNITED WELDING SPECIALITIES OF LONGVIEW, INC., a Texas corporation (the “Corporation”), and MAGNEGAS APPLIED TECHNOLOGY SOLUTIONS, INC., a Delaware corporation (including its successors and assigns, the “Purchaser”).
