This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of October 30, 2025, by and between KARBON-X CORP., a Nevada corporation, with headquarters located at 6575 West Loop South, Suite 500, Bellaire, TX 77401 (the “Company”), and JEFFERSON STREET CAPITAL, LLC, a New Jersey limited liability company, with its address at 208 Lenox Avenue, #236, Westfield, NJ 07090 (the “Buyer”).

This maintenance agreement (this “Agreement”) is made and entered into as of January 8, 2026 (the “Effective Date”), by and between Mast Hill Fund, L.P., a Delaware limited partnership (the “MHF”) and Karbon-X Corp., a Nevada corporation (“Service Provider”), regarding the facility identified on Schedule III attached hereto (the “Facility”). MHF and Service Provider are sometimes referred to in this Agreement individually as a “Party” and collectively as the “Parties”.

THIS NOTE PURCHASE AGREEMENT (this “Agreement”), dated as of November14, 2025, is entered into by and between KARBON-X CORP., a Nevada corporation (“Company”), and DEBTFUND, L.P., a Delaware limited partnership, its successors and/or assigns (“Investor”).
