This SECURITIES PURCHASE AGREEMENT (the "Agreement), dated as of April 1, 2025, by and between GUIDED THERAPEUTICS, INC., a Delaware corporation, with its address at 5835 Peachtree Corners East, Suite B, Peachtree Corners, Georgia 30092 (the "Company"), and 1800 DIAGONAL LENDING LLC, a Virginia limited liability company, with its address at 1800 Diagonal Road, Suite 623, Alexandria VA 22314 (the "Lender").

THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, John Gould or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after date hereof (the “Date of Issuance”) and on or prior to 5:00 p.m. (New York City time) on May 1, 2028 (the “Termination Date”) but not thereafter, to subscribe for and purchase from Guided Therapeutics, Inc., a Delaware corporation (the “Company”), up to 75,000 shares (as subject to adjustment hereunder, the “Warrant Shares”) of Common Stock. The purchase price of one share of Common Stock under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b).
