THIS EXPENSE LIMITATION AGREEMENT ("Agreement") is made and entered into as of the 6th day of September, 2018, by and between Starboard Investment Trust, a Delaware statutory trust (the "Trust"), on behalf of its series, the Crow Point Small-Cap Growth Fund (previously, the Goodwood SMID Long/Short Fund (the "Fund"), and Crow Point Partners, LLC, a Delaware limited liability company (the "Advisor").
