THIS EXPENSE LIMITATION AGREEMENT ("Agreement") is made and entered into effective as this 24th day of February, 2017 by and between Starboard Investment Trust, a Delaware statutory trust (the "Trust"), on behalf of its series, the Alpha Risk Hedged Dividend Equity Fund, previously known as the Cavalier Hedged Equity Fund (the "Fund(s)"), and ARS Investment Management LLC, a Massachusetts Limited Liability Company (the "Advisor"). This Agreement supersedes and replaces the Interim Expense Limitation Agreement entered into on December 29, 2016.
