This Expense Limitation Agreement ("Expense Limitation Agreement") is made and entered into effective as July 23, 2015 by and between the Starboard Investment Trust, a Delaware statutory trust (the "Trust"), on behalf of its series portfolio, the Sirius S&P Strategic Large-Cap Allocation Fund (the "Fund"), and Sirius Funds Advisors, Inc., a Delaware corporation (the "Advisor").
