This SECURITY AGREEMENT, dated as of December 10, 2012 (this “Agreement”), is among Location Based Technologies, Inc., a Nevada corporation (the “Company”), the holders of the Company’s Secured Convertible Notes issued on December 10, 2012 (the “Notes”), in the original aggregate principal amount of up to $1,000,000 (collectively, the “Secured Parties”) and Jess N. Turner III, Esq., as collateral agent for the Secured Parties (the “Collateral Agent”).
