This Agreement and Plan of Merger (the “Agreement”) is made as of this 31st day of May, 2012 by and among Bridgeline Digital, Inc., a Delaware corporation, with a principal place of business at 80 Blanchard Road, Burlington, Massachusetts 01803 (“Bridgeline”), MarketNet, Inc. (the “Seller”), a Texas corporation, with a principal place of business at 5360 Legacy Drive, Suite 175, Plano, Texas 75024, and Jill Bach (the “Shareholder”), an individual residing in Dallas, Collin County, Texas.

This SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of May 31, 2012, by and between Bridgeline Digital, Inc., a Delaware corporation (the “Company”), and the investors set forth on the signature pages affixed hereto (each, an “Investor” and, collectively, the “Investors”).
