AGREEMENT dated as of January 23, 2019, between Investment Managers Series Trust, on behalf of itself or its portfolios listed on Appendix A attached hereto (as it may be amended from time to time), individually and not jointly, (the "Fund"), and ReFlow Fund, LLC, a Delaware limited liability company ("ReFlow"), in consideration of the mutual agreements herein contained and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows:

CREDIT AGREEMENT, dated as of December 27, 2018, among each corporation and trust listed on Schedule 1 hereto, in its applicable capacity as either a Company Borrower (as hereinafter defined) or a Series Borrower (as hereinafter defined), as the case may be, and UMB Bank, n.a., a national banking association (the “Bank”).
