THIS PURCHASE AND SALE AGREEMENT (as amended from time to time, this “Agreement”) is entered into as of December 27, 2007, by and among OLD NATIONAL BANK, a national banking association (“ONB” or “Seller”), ONB TRADITIONAL PORTFOLIO LANDLORD, LLC and the other entities listed as a “Buyer” on the signature pages hereto, each a Delaware limited liability company (individually, a “Buyer” and collectively, “Buyers”).
