THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT, dated this 5th day of May, 2004, is between United National Insurance Company, a Pennsylvania corporation with its principal offices in Bala Cynwyd, PA (the “Company”) and William F. Schmidt, an individual residing at 1420 Lexington Drive, Maple Glen, PA 19002 (the “Executive”).
