This Agreement and Plan of Reorganization (this “Agreement”), dated as of September 18, 2013 (the “Effective Date”), is entered into among SCNRG LLC, a California limited liability company (“SCNRG”), Darren Katic, an individual (“Katic”), Manhattan Holdings, LLC, a Delaware limited liability company (“Manhattan Holdings”), Gerald Tywoniuk, an individual (“Tywoniuk”) (each of Katic, Manhattan Holdings and Tywoniuk a “Seller” and, collectively, “Sellers”) and Sara Creek Gold Corp., a Nevada corporation (“Buyer”).
