This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of July 15, 2026, is by and among Robo.ai, Inc., a company organized in the Cayman Islands with offices located at Office 114-117, Floor 1, Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates (the “Company”), and each of the investors listed on the Schedule of Buyers attached hereto (individually, a “Buyer” and collectively, the “Buyers”).
