THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of March 31, 2023, is between NEAR INTELLIGENCE, INC., a company incorporated under the laws of the State of Delaware (the “Company”), and each of the investors listed on the Schedule of Buyers attached as Schedule I hereto (individually, a “Buyer” and collectively the “Buyers”).

THIS DEBENTURE AND THE RIGHTS AND OBLIGATIONS EVIDENCED HEREBY ARE SUBJECT TO, AND SUBORDINATE IN THE MANNER AND TO THE EXTENT SET FORTH IN, THAT CERTAIN SUBORDINATION AGREEMENT DATED AS OF MARCH 31, 2023 (THE “SUBORDINATION AGREEMENT”), BY AND AMONG THE HOLDER (AS DEFINED BELOW), THE HOLDERS OF THE OTHER DEBENTURES (AS DEFINED BELOW) AND Blue Torch (AS DEFINED BELOW), TO THE INDEBTEDNESS OWED BY THE COMPANY (AS DEFINED BELOW) IN CONNECTION WITH THE BT FINANCING AGREEMENT (AS DEFINED BELOW) AND THE OTHER LOAN DOCUMENTS (AS DEFINED IN THE BT FINANCING AGREEMENT) AND TO ALL LIENS AND SECURITY INTERESTS GRANTED IN CONNECTION THEREWITH; AND THE HOLDER, BY ITS ACCEPTANCE HEREOF, IRREVOCABLY AGREES TO BE BOUND BY THE PROVISIONS OF THE SUBORDINATION AGREEMENT.
