This SHARE PURCHASE AGREEMENT (this “Agreement”) is made as of the 26th day of December 2017 (the “Effective Date”) by and among Million Success Business Limited (the “Buyer”), a company formed under the law of the British Virgin Islands, and the seller of shares of common stock, par value $0.001 per share (the “Common Stock”) of Oranco, Inc., a Nevada corporation (OTCQB: ORNC) (the “Issuer” or the “Company”) set forth on the Counterpart Signature Pages to this Agreement (the “Seller” ). The Buyer and Seller are herein collectively referred to as the “Parties.”

This SHARE EXCHANGE AGREEMENT (“Agreement”) is entered into as of this June 29, 2018, by and among Oranco, Inc. (“ORNC”), a Nevada corporation, Reliant Galaxy International Limited, a British Virgin Islands company (“Reliant”), and the shareholders of Reliant set forth in Schedule A hereof (each, a Stockholder”, and collectively, the “Stockholders”). ORNC, Reliant, and the Stockholders are referred to herein individually as a “Party” and, collectively, as the “Parties” to this Agreement.

In accordance with the “Labor Contract Law of the People’s Republic of China” (hereinafter referred to as the “Labor Contract Law”) and the relevant provisions of Shanxi Province, both parties, following the principles of legality, fairness, equality, voluntariness, and consensus, sign this contract and jointly abide by the terms listed in this contract.
