The undersigned, HUADI INTERNATIONAL GROUP CO., LTD., a Cayman Islands exempted company (collectively with its subsidiaries and affiliates, including, without limitation, all entities disclosed or described in the Registration Statement (as defined below) as being subsidiaries or affiliates of HUADI INTERNATIONAL GROUP CO., LTD., the “Company”), hereby confirms its agreement (this “Agreement”) with the several underwriters (such underwriters, including the Representatives (as defined below), the “Underwriters” and each an “Underwriter”) named in Schedule I hereto for which Craft Capital Management, LLC (“Craft”) and R.F. Lafferty & Co. Inc (“Lafferty”), acting as representatives to the several Underwriters (in such capacity, the “Representatives” and each a “Representative”) on the terms and conditions set forth herein.

THIS REPRESENTATIVE WARRANT (this “Warrant”) certifies that, pursuant to that certain Underwriting Agreement by and between Huadi International Group Co., Ltd., a Cayman Islands company (the “Company”) and, on behalf of the Underwriters named on Schedule I thereto, Craft Capital Management LLC and R.F. Lafferty & Co.
