THIS COMMON STOCK PURCHASE WARRANT (this “Warrant”) certifies that, for value received, _ ThinkEquity, a division of Fordham Financial Management, Inc. or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the six (6) month anniversary of the Original Issue Date (the “Initial Exercise Date”) and on or prior to the close of business on the five year anniversary of the Initial Exercise Date (the “Termination Date”) but not thereafter, to subscribe for and purchase from SG Blocks, inc., a Delaware corporation (the “Company”), up to [______]1 shares (as subject to adjustment hereunder, the “Warrant Shares”) of Common Stock. This Second Amendment, dated November 7, 2019 (the “Second Amendment”), to that certain Loan Agreement and Promissory Note, dated October 3, 2019, as amended on October 15, 2019 (collectively, the “Loan Agreement”) between SG Blocks, Inc. (“Lender’) and CPF GP 2019-1 LLC (the “Borrower”), is entered into by and between the Lender and Borrower. Capitalized terms used herein and not defined shall have the meanings set forth in the Loan Agreement.
