THIS THIRD AMENDMENT (the "Third Amendment") is made and entered into as of February 27, 2014 (the “Third Amendment Effective Date”), by and between Exponent Realty, LLC, a Delaware limited liability company ("Landlord"), and Geron Corporation, a Delaware corporation ("Tenant").
