This SHARE EXCHANGE AGREEMENT (this "Agreement"), dated as of September , 2011, is by and among Cyber Informatix, Inc., a Nevada corporation ("CYIX"), Donald C. Jones and Terry G. Bowering (together, the "Controlling Stockholders"), Goldenway Precious Metals Limited, a Hong Kong company ("Goldenway"), and Goldenway Investments Holdings Limited, a Hong Kong company and the sole shareholder of Goldenway (the "Shareholder"). Each of the parties to this Agreement is individually referred to herein as a "Party" and collectively, as the "Parties." Capitalized terms used herein that are not otherwise defined herein shall have the meanings ascribed to them in Annex A hereto.
