This Warrant Agreement (as may be supplemented, amended or amended and restated pursuant to the applicable provisions hereof, this “Agreement”), dated as of [●], 2021, between Bonanza Creek Energy, Inc., a Delaware corporation (and any Successor Company (as defined below) that becomes successor to the Company in accordance with Section 15) (the “Company”), and American Stock Transfer & Trust Company, LLC, a New York limited liability trust company (the “Warrant Agent,” which term includes any successor thereto permitted under this Agreement). Capitalized terms that are used in this Agreement shall have the meanings set forth in Section 1 hereof.

In connection with the Agreement and Plan of Merger, dated as of May 9th, 2021 (the “Merger Agreement”), by and among Bonanza Creek Energy, Inc., a Delaware corporation (“Parent”), Raptor Eagle Merger Sub, Inc., a Delaware corporation and a wholly-owned Subsidiary of Parent (Merger Sub”) and Extraction Oil & Gas, Inc., a Delaware corporation (the “Company”), pursuant to which Merger Sub shall merge with and into the Company with the Company continuing as the surviving corporation (the “Merger”), we have acted as counsel to the Company in connection with the preparation and filing of the Registration Statement on Form S-4 (Registration Statement No.333-257882) (the “Registration Statement”), which includes the joint proxy statement/prospectus, originally filed with the Securities and Exchange Commission (the “SEC”) on July 14, 2021, and as amended on August 27, 2021.
