This SECURITIES PURCHASE AGREEMENT dated as of July 26, 2021 (this “Agreement”) is by and among APi Group Corporation, a Delaware corporation (the “Company”), and BTO Juno Holdings L.P., a Delaware limited partnership, and Blackstone Tactical Opportunities Fund – FD L.P., a Delaware limited partnership (collectively, the “Purchaser”).
