PARI PASSU INTERCREDITOR AGREEMENT dated as of June 23, 2014, (this “Agreement”), among ESH HOSPITALITY, INC., a Delaware corporation (the “Borrower”), each of the other Grantors, JPMORGAN CHASE BANK, N.A.
