WHEREAS pursuant to the Terms Agreement dated June 17, 2013, that incorporates by reference the underwriting agreement basic provisions dated March 2, 2006 (together, the “Underwriting Agreement”) between the Issuer and the Underwriters named therein, the Issuer has agreed to issue its NOK 750,000,000 3.000% Notes due June 2018 (the “Notes”); and
