This Securities Purchase Agreement (this “Agreement”) is dated as of June 29, 2011, among Cell Therapeutics, Inc., a Washington corporation (the “Company”), and each purchaser identified on the signature pages hereto, including Rodman and Renshaw, LLC (“Rodman”), which is also acting as placement agent for the Company (each, including its successors and assigns, a “Purchaser” and collectively the “Purchasers”).
