THIS ASSET PURCHASE AGREEMENT is entered into as of February 11, 2010, by and among HPR Global, Inc., a Delaware corporation (“Purchaser”), Symyx Technologies, Inc., a Delaware corporation (“Parent”) and Symyx Solutions, Inc., an Oregon corporation and wholly-owned subsidiary of Parent (“Seller”).
