THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, James M. Stanton (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time beginning sixty (60) days following the Issue Date set forth above (the “Initial Exercise Date”) and continuing until the close of business on the five (5) year anniversary of the earlier of i) the date a registration statement covering the Warrant Shares has been declared effective by the Securities Exchange Commission; or ii) the date that the Warrant Shares become freely tradable and unrestricted pursuant to the provisions of Rule 144 (the “Termination Date”) but not thereafter, to subscribe for and purchase from BioVest International, Inc., a Delaware corporation (the “Company”), up to One Million (1,000,000) shares (the “Warrant Shares”) of Common Stock.
