THIS REGISTRATION RIGHTS AGREEMENT, dated as of November 9, 2009 (the “Agreement”), is made by and between THE BOEING COMPANY, a Delaware corporation, having an office at 100 North Riverside Plaza, Chicago, Illinois 60606 (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager other than with respect to Section 1.3 hereof (the “Manager”) of a segregated account held in THE BOEING COMPANY EMPLOYEE RETIREMENT PLANS MASTER TRUST (the “Trust”).
