THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into this 22nd day of December, 2008 (the “Effective Date”) by and between GENOPTIX, INC., a Delaware corporation (“Company”), and CHRISTIAN V. KUHLEN, M.D., ESQ. (“Executive”) and supersedes and replaces that certain Executive Employment Agreement by and between the Company and Executive dated December 10, 2007, as amended.
