THIS EMPLOYMENT AGREEMENT (this “Agreement”), dated as of April 30, 2008, is hereby entered into by and between FBR Capital Markets Corporation, a Virginia corporation with its principal place of business at 1001 19 th street North, Arlington, VA 22209 (“FBCM” or the “Company”) and Richard J. Hendrix, residing at the address set forth on the signature page hereof (the “Executive”).

On February 20, 2008 the Compensation Committee of the Board of Directors of FBR Group (the “Company”) approved a one time cash retention incentive payable to you in the amount of $2,000,000 in an effort to ensure your continued service in the capacity of Chairman or Chairman and Chief Executive Officer of FBR Group. The following terms and conditions apply to this incentive:

This Retention Incentive Agreement is made and entered into as of this 30th day of April, 2008 (the “Effective Date”), by and between FBR Capital Markets Corporation (the “Company”) and Richard J. Hendrix (“Executive”).
