This Transition Agreement and Release (“Agreement”) is made and entered into by and between Robert L. Bailey for himself or his heirs, successors and assigns (hereinafter “Bailey”) and PMC-Sierra, Inc. (hereinafter referred to as the “Company”) (collectively, the “Parties”), with reference to the following facts:

THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”), is dated to be effective October 16, 2007 (the “Effective Date”) is made by and between PMC-Sierra, Inc. (hereinafter the “Company”), and Robert L. Bailey (hereinafter “Executive”) and is related to an actual or constructive termination of Executive following a change of control of the Company.
