SECOND AMENDED AND RESTATED PLEDGE AND SECURITY AGREEMENT, dated as of May 25, 2007 (as amended, modified or supplemented from time to time, this “Agreement”), made by each of the undersigned pledgors (each a “Pledgor”, and together with any entity that becomes a party hereto pursuant to Section 22 hereof, the “Pledgors”), in favor of DEUTSCHE BANK AG NEW YORK BRANCH, as successor Collateral Agent to DEUTSCHE BANK TRUST COMPANY AMERICAS, as Collateral Agent, for the benefit of the Secured Creditors (as defined in Section 1 below) (in such capacity, the “Pledgee”).
