AGREEMENT made as of this 28th day of July 2006, by and between AARP PORTFOLIOS, a statutory trust organized under the laws of the state of Delaware with its principal place of business at 650 F. Street, N.W., Washington, D.C. 20004 (the “Trust”) and STATE STREET BANK AND TRUST COMPANY, a Massachusetts trust company having its principal office and place of business at 225 Franklin Street, Boston, Massachusetts 02110 (the “Transfer Agent”).
