THIS AGREEMENT, dated as of , 2006, is made by and between CB RICHARD ELLIS REALTY TRUST, a Maryland real estate investment trust (the “Company”); and CNL SECURITIES CORP., a Florida corporation (the “Managing Dealer”). This Agreement shall become effective upon the effective date of that certain Registration Statement on Form S-11 filed by the Company, with the United States Securities and Exchange Commission on August 10, 2005 (Registration No. 333-127405) (the “S-11”), as the same has been amended from time to time. In the event the S-11 does not become effective by December 31, 2006, this Agreement shall be void ab initio and of no force or effect.

This Agreement of Purchase and Sale (the “Agreement”), dated as of the “Effective Date” (being defined as the date that the last party signed this Agreement as shown by the date set forth next to said party’s signature below), is between MILLENNIUM ASSOCIATES, LTD., a Texas limited partnership, TELCOM COMMERCE ASSOCIATES, LTD., a Texas limited partnership, and TELECOM COMMERCE II, LTD., a Texas limited partnership (each, a “Selling Entity” and collectively, “Seller”), and RT TEXAS INDUSTRIAL, L.P., a Delaware limited partnership, or its permitted assigns (“Buyer”).
