SECURITIES PURCHASE AGREEMENT (“Agreement”) dated as of March 13, 2006, between ATLAS PIPELINE PARTNERS, L.P., a Delaware limited partnership (the “Company”), and SUNLIGHT CAPITAL PARTNERS, LLC, a Delaware limited liability company (the “Purchaser”).
