THIS RETENTION INCENTIVE AGREEMENT (the “Agreement”) is entered into as of this 20th day of April, 2004, effective for all purposes as of January 1, 2004 (the “Effective Date”) by and between INEI Corporation, a Delaware corporation (the “Company”), and Robert W. Erikson (the “Executive”).
