THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made as of the 10th day of September, 2012, by and between RiT Technologies Ltd. (the “Company”), a company organized under the laws of the State of Israel, with its principal offices at 24 Raoul Wallenberg Street, Tel Aviv 69719, Israel, and Invencom Technologies Ltd. (former name: Quartz (Israel) Commerce & Investments Ltd.), an Israeli company of 11 Nachal Shikma Street, Modiein 71701, Israel (the “Purchaser”).
