THIS ASSIGNMENT AGREEMENT dated as of August 15, 2008, is entered into by and between FORBES MEDI-TECH (RESEARCH), INC., of 10931 North Torrey Pines Road, La Jolla, California, 92037, USA (“Assignor”) and TRANSITION THERAPEUTICS INC., of 101 College Street, Suite 220, Toronto, Ontario, M5G 1L7 (“Assignee”).
