TD Ameritrade Holding Corporation (the "Company") hereby grants you, Tim Hockey (the "Grantee"), the number of Performance-Based Restricted Stock Units indicated below under the Company's Long-Term Incentive Plan (the "Plan"). Unless otherwise defined herein, the terms defined in the Plan shall have the same defined meanings in this Performance-Based Restricted Stock Unit Agreement, including each Appendix (collectively, the "Agreement"). The Performance-Based Restricted Stock Units granted under this Agreement are referred to as Restricted Stock Units under the Plan.
