THIS EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) is made between BioLife Solutions Inc., a Delaware corporation (“Employer” or the “Company”), and Michael P. Rice (“Executive”). Executive and the Company are sometimes referred to herein as the “Parties.” The effective date is January 1, 2018. This Agreement replaces the employment agreement effected by the parties on February 19, 2015.

This Amendment No.1 to Contribution Agreement (this “Amendment”), effective as of the date of last signature below, hereby amends that certain Contribution Agreement, dated December 31, 2016 (the “Agreement”), between Savsu Technologies, LLC, (“Savsu”), biologistix CCM, LLC, (“JV”) and BioLife Solutions, Inc. (“Company”). Terms not defined herein have the meanings ascribed to them in the Agreement.

This Amendment to the Amended and Restated Operating Agreement (this “Amendment”), effective as of the date of last signature below, hereby amends that certain Amended and Restated Operating Agreement, dated December 31, 2016 (the “Agreement”), of biologistix CCM, LLC, (“JV”) and its members Savsu Technologies, LLC, (“Savsu”), and BioLife Solutions, Inc. (“Company”). Terms not defined herein have the meanings ascribed to them in the Agreement.
