THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this ____ day of _______, 2009, by and between FEDERATED AMERICAN LEADERS FUND, INC., a Maryland corporation, with its principal place of business at 4000 Ericsson Drive, Warrendale, PA 15086-7561 (the “Acquired Fund”) and FEDERATED EQUITY FUNDS, a Massachusetts business trust, with its principal place of business at 4000 Ericsson Drive, Warrendale, PA 15086-7561 (the “Trust”), with respect to FEDERATED CLOVER VALUE FUND, a series of the Trust (“Acquiring Fund” and, collectively with the Acquired Fund, the “Funds”).
