THIS AGREEMENT is entered into as of this 25 day of August 2008 (the “Effective Date”) by and between Tridium, Inc., a Delaware corporation (“Tridium”) having its principal place of business at 3951 Westerre Parkway, Suite 350, Richmond, VA 23233, and Solarsa Inc, a Florida corporation (an “Authorized Tridium Reseller” or “Reseller”) having its principal place of business at 4015 Dale Mabry Highway South, Tampa Florida 33611 (each a “Party” and collectively, the “Parties”).

THIS AGREEMENT is entered into between the STATE OF FLORIDA, EXECUTIVE OFFICE OF THE GOVERNOR, FLORIDA ENERGY AND CLIMATE COMMISSION whose address is 600 South Calhoun Street, Suite 251, Tallahassee, Florida 32399-0001 (hereinafter referred to as the “Commission”) and the SOLARSA, Inc, whose address 4105 South Dale Mabry Highway, Tampa 33626(hereinafter referred to as “Grantee” or "Recipient"), a Florida profit corporation, to create a Solar Cooling Manufacturing Plant. The Renewable Energy and Energy-Efficient Technologies Grant Program is established and authorized by Section 377.804, Florida Statutes.
