THIS CERTIFIES that, for receipt in hand of $.001 and other value received, T.R. Winston & Company LLC (the "Holder"), is entitled to subscribe for and purchase from PINPOINT RECOVERY SOLUTIONS CORP., a Delaware corporation (the "Company"), upon the terms and conditions set forth herein, at any time or from time to time after June 27, 2007 and before 5:00 P.M. New York time on June 26, 2012 (the "Exercise Period"), 154,680 shares of the Company's Common Stock, par value $.001 per share (the "Common Stock"), at a price of $2.50 per share (the "Exercise Price").
