AMENDMENT NO. 3, dated as of August 7, 2007 (the "Amendment"), to the Deposit Agreement dated as of July 6, 2000 as previously amended (as amended hereby, the "Deposit Agreement"), among Mobile Telesystems OJSC, incorporated under the laws of the Russian Federation (the "Company"), JPMorgan Chase Bank, N.A., as depositary (the "Depositary"), and all holders from time to time of American depositary receipts ("ADRs") issued thereunder.
