THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of November 4, 2021, by and among TCFII NxEdge Holdings LLC, a Delaware limited liability company (“Seller”), TCFII NxEdge LLC, a Delaware limited liability company (the “Company”), and EnPro Holdings, Inc., a North Carolina corporation (“Buyer”).
