AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST amended and restated this 22nd day of January, 2016, by the undersigned (together with all other persons from time to time duly elected, qualified and serving as Trustees in accordance with the provisions of Article II hereof, the “Trustees”), whose signatures are affixed hereto and the holders of shares of beneficial interest issued hereunder and to be issued hereunder as hereinafter provided;

This Transfer Agency and Service Agreement is entered into as of the 29th day of January, 2015 by and between John Hancock Collateral Trust (the “Trust”), a Massachusetts business trust having its principal office and place of business at 601 Congress Street, Boston, Massachusetts, 02210 and John Hancock Signature Services, Inc. (“JHSS”), a Delaware corporation having its principal office and place of business at 601 Congress Street, Boston, Massachusetts, 02210 (“JHSS”).
