This Warrant Agreement (this "Agreement") is made as of January 31, 2008, by and between Zion Oil & Gas, Inc., a Delaware corporation having its principal place of business at 6510 Abrams Road, Suite 300, Dallas, Texas 75231 (the "Company"), and Registrar and Transfer Company, a New Jersey corporation with offices at 10 Commerce Drive, Cranford, New Jersey 07016 (the "Warrant Agent").

This Escrow Agreement (the "Agreement") is entered into on this 31st day of January, 2008, between Zion Oil & Gas, Inc, a Delaware Corporation with offices at 6510 Abrams Road, #300, Dallas, TX 75231 and whose Federal T.I.N. is 20-0065053 (hereinafter called the "Sponsor") and Sterling Trust Company, a Texas trust company, with offices at 7901 Fish Pond Road, Waco, Texas 76710 (hereinafter called the "Escrow Agent").

Zion Oil & Gas, Inc., a Delaware corporation (the "Company"), proposes to offer and sell through Network 1 Financial Securities, Inc., as the managing underwriter (the "Underwriter"), and other broker-dealers (collectively, "Placement Agents") up to 2,500,000 units of the Company's securities (the "Units") for $10.00 per Unit, where each Unit is comprised of (i) one (1) share of the Company's $.01 par value common stock (a "Share") and (ii) one (1) common share purchase warrant (the "Warrant") to purchase one share of the Company's common stock at an exercise price of $7.00 per share for the duration of time specified in the Registration Statement (as defined below (a "Warrant Share"; and together with the Units, Shares and the Warrants, the "Securities").
