This WARRANT AGREEMENT (this “Agreement”) is made and entered into as of October 27, 2006 (the “Issuance Date”), by and between Material Technologies, Inc., a Delaware corporation (the “Company”), and HYDE INVESTMENTS, LTD. (the “Holder”). The Company and the Holder hereby agree as follows: Section 1. Issuance of the Warrant; Transferability and Form of the Warrant.

THIS AGREEMENT (the “Agreement”) is dated October 27, 2006 (the “Effective Date”), and is made by and between the entities and individuals whose names appear on the signature pages of this Agreement (collectively the “Stockholders” or individually a “Stockholder”) and Material Technologies, Inc., a Delaware corporation (the “Company”).

This Escrow Agreement (this “Agreement”) is dated as of October 27, 2006, by and between Material Technologies, Inc., a Delaware corporation (“MaTech”), on the one hand, Palisades Capital, LLC (“Palisades”), Hyde Investments, Ltd. (“Hyde”), and Livingston Investments, Ltd. (“Livingston” and together with Palisades and Hyde, the “Debenture Holders”), on the other hand, and The Lebrecht Group, APLC (the “Agent”), as escrow agent. Each of MaTech and the Debenture Holders shall be referred to as a “Party” and collectively as the “Parties.”

This SETTLEMENT AGREEMENT AND GENERAL RELEASE (this “Agreement”) is effective as of October 27, 2006, by and between Material Technologies, Inc., a Delaware corporation (the “Company”), on the one hand, and PALISADES CAPITAL, LLC, HYDE INVESTMENTS, LTD. AND LIVINGSTON INVESTMENTS, LTD. (each a “Debenture Holder” and collectively the “Debenture Holders”), on the other hand. Each of the Company and the Debenture Holders are sometimes referred to below as a “Party” and collectively as the “Parties.”
