AMENDMENT, effective as of the 15th day of August, 2016 between ABERDEEN FUNDS (the “Trust”) and ABERDEEN ASSET MANAGEMENT INC. (the “Adviser”) to that certain Investment Advisory Agreement dated February 7, 2008, as amended (the “Agreement”). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.

Reference is made to the Amended and Restated Master Custodian Agreement dated as of June 1, 2010 (the “Agreement”), as amended, between each management investment company identified on Appendix A thereto and State Street Bank and Trust Company. This letter is to provide notice that the Board of Trustees approved changing the name of the Aberdeen Global Fixed Income Fund to “Aberdeen Global Unconstrained Fixed Income Fund” effective on August 15, 2016. Additionally, the Board of Trustees approved a plan of liquidation for each of the Aberdeen Asia-Pacific Smaller Companies Fund, Aberdeen European Equity Fund, Aberdeen Latin American Equity Fund and Aberdeen Ultra-Short Duration Bond Fund and a plan of reorganization pursuant to which the Aberdeen Emerging Markets Debt Fund will acquire all of the assets of the Aberdeen Emerging Markets Debt Local Currency Fund. Each fund liquidation and the reorganization will occur on August 15, 2016.
AMENDMENT to Transfer Agency and Service Agreement between Aberdeen Funds and Aberdeen Investment Funds, On Behalf Of Each of The Entities,Transfer Agency and Service Agreement • August 15th, 2016 • Aberdeen Funds
This Amendment is effective on August 15, 2016 between the Funds and the Transfer Agent. The Funds and the Transfer Agent are parties to a Transfer Agency and Service Agreement dated June 3, 2011, as amended, (the “Agreement”) under which the Transfer Agent performs certain services for the Funds. In accordance with Section 16.1 (Amendment) of the Agreement, the parties desire to amend the Agreement as set forth herein.
