This Agreement, made as of September 9, 2014, and to have an effective date with respect to the Fund (as defined below) on or about October 17, 2014 or on a date that is mutually agreed upon in writing by the parties hereto is between HIMCO VARIABLE INSURANCE TRUST, a business trust organized and existing under the laws of Delaware (the “Fund”), and STATE STREET BANK and TRUST COMPANY, a Massachusetts trust company (the “Custodian”).

THIS AGREEMENT (“Agreement”), made as of September 9, 2014, and to have an effective date with respect to the Fund (as defined below) on or about October 17, 2014 or on a date that is mutually agreed upon in writing by the parties hereto, by and between STATE STREET BANK AND TRUST COMPANY, a Massachusetts trust company having its principal office and place of business at One Lincoln Street, Boston, Massachusetts 02111 (“State Street” or the “Transfer Agent”), and HIMCO Variable Insurance Trust, a business trust organized and existing under the laws of Delaware Fund (the “Fund”).
