This RESTRICTED STOCK AGREEMENT (the “Agreement”), dated as of January 1, 2007 (the “Date of Grant”), is entered into by and between GUESS?, INC., a Delaware corporation (the “Company”), and Paul Marciano (the “Grantee”).
